Terms of Service

1. Acceptance of Terms

By creating an account or using Handoff ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Handoff is a client project management platform that allows freelancers and agencies to share project updates, files, messages, invoices, and contracts with their clients through shareable Pass links.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to create an account.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Workspace & Data Ownership

You retain full ownership of all content you upload to Handoff — including files, messages, invoices, and client information. Handoff does not claim any intellectual property rights over your content.

You grant Handoff a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of operating the Service.

5. Client Access

When you share a Pass link with a client, the client can access the project portal without creating an account. You are responsible for controlling who receives Pass links. You may protect Passes with a PIN for additional security.

6. Payments & Billing

Handoff offers free and paid subscription plans. Paid subscriptions are billed monthly through Stripe. You may cancel at any time from your Settings page — your plan will remain active until the end of the current billing period.

Invoicing and payment collection between you and your clients is facilitated through Stripe Connect. Handoff is not a party to the financial relationship between you and your clients.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload malicious files or content.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Use the Service to send unsolicited communications (spam).
  • Interfere with or disrupt the Service's infrastructure.
  • Resell access to the Service without written permission.

We reserve the right to suspend or terminate accounts that violate these terms.

8. Service Availability

We aim to keep Handoff available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience downtime beyond our control. We are not liable for any losses resulting from service interruptions.

9. Data & Privacy

Your use of Handoff is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

10. Intellectual Property

The Handoff name, logo, and platform design are the intellectual property of Handoff. You may not copy, modify, or distribute the Service's code, design, or branding without written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Handoff and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of the Service.

Our total liability for any claim arising from the Service is limited to the amount you paid Handoff in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Handoff from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms.

13. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these terms. Upon termination, your data will be permanently deleted within 30 days.

14. Changes to These Terms

We may update these terms from time to time. We'll notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which Handoff operates.
